LOS ANGELES MUSICAL THEATRE STUDIO — TERMS, CONDITIONS & RELEASE

Please read these Terms, Conditions & Release ("Terms") carefully. They are a binding legal agreement between you ("you," "your," or "Participant") and Los Angeles Musical Theatre Studio and its owners, officers, instructors, faculty, guest artists, employees, contractors, volunteers, agents, and affiliates (collectively, "the Studio," "we," "us," or "our"). By enrolling in, registering for, paying for, attending, auditing, or otherwise participating in any class, workshop, masterclass, coaching, rehearsal, performance, event, or other program offered by the Studio (each, a "Program"), you agree to these Terms on your own behalf and on behalf of any minor or other person for whom you register. If you do not agree, do not enroll in or participate in any Program.
1. ELIGIBILITY AND ACCEPTANCE
The Studio's Programs are intended for adults. By enrolling you represent that you are at least 18 years of age and legally able to enter into this agreement. You affirm that the information you provide during registration is accurate and complete. Your electronic acceptance of these Terms, and/or your participation in any Program, constitutes your signature and agreement to be bound by these Terms.
2. ENROLLMENT, TUITION AND PAYMENT
Enrollment is confirmed only when payment (or an approved payment-plan deposit) has been received and the Studio has accepted your registration. Tuition, fees, seat types, and pricing are as stated at the time of enrollment and are subject to change. You are responsible for paying all tuition and fees associated with your enrollment, including any installments under a payment plan you select. Payment plans do not reduce the total amount owed; missing an installment may result in removal from the Program and/or collection of the balance due. All fees are stated and payable in U.S. dollars.
3. RIGHT TO REFUSE, LIMIT, OR REMOVE
The Studio reserves the right, in its sole and absolute discretion and for any reason or no reason, to decline, refuse, limit, or revoke any registration or admission; to remove or dismiss any Participant from any Program or Studio premises; to require an audition or application; to limit class size; and to determine each Participant's suitability for a given Program. Removal for disruptive, unsafe, dishonest, harassing, or inappropriate conduct, or for violation of these Terms, may be made without refund.
4. CANCELLATIONS, RESCHEDULING, SUBSTITUTIONS AND CLOSURES BY THE STUDIO
The Studio reserves the right, at any time and in its sole discretion and for any reason, to cancel, postpone, reschedule, shorten, combine, relocate, or otherwise modify any Program; to change class dates, times, formats (including offering a Program online or in person), locations, and curriculum; and to substitute instructors, faculty, or guest artists. Advertised instructors, faculty, and guest artists are subject to change and are not guaranteed. If the Studio cancels a Program in its entirety before it begins, the Studio will, at its option, offer you a credit toward a future Program or a refund of amounts you paid for that Program. Except as expressly stated in this Section, the Studio's decision whether to issue any refund or credit for any cancellation, change, substitution, or missed session is made in the Studio's sole discretion. The Studio is not responsible for any travel, lodging, or other costs or losses you incur in connection with any Program or any change to it.
5. REFUNDS AND WITHDRAWALS BY YOU
Except where a non-refundable acknowledgment applies at checkout, tuition and fees are generally non-refundable. Once you enroll, you are responsible for the full cost of the Program regardless of whether you attend, complete, or withdraw from it, and regardless of the reason. Missed classes are not refunded, credited, or made up except at the Studio's sole discretion. Any refund or credit the Studio elects to provide is a courtesy, is made in the Studio's sole discretion, and does not obligate the Studio to provide the same in any other case.
6. ASSUMPTION OF RISK
You understand that participation in the Studio's Programs involves inherent and other risks. Programs may involve vocal exertion and singing; physical movement, stretching, floor work, dance, staging, and use of props or equipment; close contact and interaction with others; emotionally demanding or personal subject matter; and travel to and use of studio and third-party venues. These activities can result in risks including, without limitation, vocal strain or injury; muscle, joint, or other physical injury; slips, trips, and falls; aggravation of pre-existing conditions; emotional or psychological distress; illness, including exposure to communicable diseases; and, in rare cases, serious injury, permanent disability, or death. You knowingly, freely, and voluntarily assume all such risks, both known and unknown, and assume full responsibility for your participation. You represent that you are in good physical and mental health and are voluntarily participating with knowledge of the risks involved. It is your responsibility to consult a physician before participating and to perform only within the limits of your own ability, to rest as needed, and to stop and seek assistance if you experience discomfort, pain, or distress.
7. RELEASE AND WAIVER OF LIABILITY
To the fullest extent permitted by law, you hereby release, waive, discharge, hold harmless, and covenant not to sue the Studio from and against any and all claims, demands, causes of action, liabilities, damages, losses, costs, or expenses (including attorneys' fees) of every kind, whether known or unknown, that arise out of or relate in any way to your registration, enrollment, participation, or attendance in any Program or presence on Studio or venue premises, including any claim based on the ordinary negligence of the Studio. This release includes, without limitation, claims for personal injury, illness, vocal or physical harm, emotional distress, death, or loss of or damage to property. You understand that you are giving up substantial legal rights, including the right to sue the Studio for its ordinary negligence. This release does not apply to liability that cannot be waived or released under applicable law, including liability for gross negligence, recklessness, or willful or intentional misconduct.
8. INDEMNIFICATION
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Studio from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) brought by you or by any third party and arising out of or relating to your participation in any Program, your presence on premises, your conduct, or your breach of these Terms.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by law, in no event will the Studio be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost opportunities, or loss of data, arising out of or relating to any Program or these Terms, even if advised of the possibility of such damages. To the fullest extent permitted by law, the Studio's total aggregate liability to you for any and all claims arising out of or relating to any Program or these Terms will not exceed the total amount of tuition and fees you actually paid to the Studio for the specific Program giving rise to the claim. Some jurisdictions do not allow certain of these limitations, and they apply only to the extent permitted by law.
10. HEALTH, MEDICAL AND EMERGENCY CARE
You are responsible for determining, in consultation with your own physician, whether you are physically and medically able to participate. The Studio does not provide medical, health, or vocal-health advice, and nothing in any Program is a substitute for professional medical care. You are responsible for disclosing to the Studio any condition, injury, or limitation relevant to your safe participation; the Studio has no obligation to accommodate any condition and may decline participation on that basis. In the event of an injury or medical emergency, you authorize the Studio to seek and secure emergency medical treatment on your behalf, and you agree that you are solely responsible for the cost of any such treatment.
11. CODE OF CONDUCT
You agree to conduct yourself professionally and respectfully; to follow the reasonable instructions of Studio instructors and staff; to arrive prepared and on time; and to refrain from any conduct that is disruptive, unsafe, harassing, discriminatory, intoxicated, dishonest, or otherwise inappropriate. The Studio maintains a zero-tolerance policy for harassment or endangerment of any kind. Violation of this Section may result in immediate removal without refund.
12. PHOTOGRAPHY, RECORDING AND MEDIA RELEASE
The Studio may photograph, film, audio-record, or livestream Programs and Participants. You grant the Studio the irrevocable, perpetual, worldwide, royalty-free right and permission to use, reproduce, edit, publish, and display your name, image, likeness, voice, performance, and biographical information captured in connection with any Program, in any media now known or later developed, for the Studio's educational, promotional, marketing, archival, and business purposes, without compensation, notice, or approval. You waive any right to inspect or approve such uses and any claim (including for invasion of privacy or publicity) arising from them. You may not photograph, record, livestream, or reproduce any Program, instructor, guest artist, or other Participant without the Studio's prior written permission and the consent of those recorded.
13. INTELLECTUAL PROPERTY AND CONFIDENTIALITY
All curriculum, methods, exercises, materials, recordings, and content provided in connection with any Program are the property of the Studio or its instructors and are provided for your personal, non-commercial educational use only. You may not copy, distribute, teach, publish, or otherwise use them for any commercial or competing purpose without the Studio's prior written consent.
14. PERSONAL PROPERTY
The Studio is not responsible for any loss of, theft of, or damage to your personal property brought to any Program or premises. You are solely responsible for your belongings.
15. COMMUNICATIONS
By providing your contact information, you consent to receive communications from the Studio related to your enrollment and Programs (such as receipts, schedules, and account notices) by email and, where provided, by phone or text. You may opt out of non-essential marketing communications at any time; transactional and account-related messages will continue as needed to administer your enrollment.
16. FORCE MAJEURE
The Studio is not liable for any failure or delay in performing, or for any cancellation, closure, or modification of a Program, caused in whole or in part by events beyond its reasonable control, including acts of God, fire, flood, earthquake, severe weather, epidemic or pandemic, public-health orders, government action, venue unavailability, labor disputes, utility or technology failures, or artist unavailability.
17. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or any Program will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of those courts.
18. SEVERABILITY AND WAIVER
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed, and the remaining provisions will remain in full force and effect. In particular, if any portion of the release, waiver, assumption of risk, indemnification, or limitation of liability provisions is held unenforceable, the remainder of those provisions and these Terms will continue to apply to the fullest extent permitted by law. The Studio's failure to enforce any provision is not a waiver of its right to do so later.
19. ENTIRE AGREEMENT AND CHANGES
These Terms, together with any additional policies or acknowledgments presented at checkout, constitute the entire agreement between you and the Studio regarding the Programs and supersede all prior understandings. The Studio may update these Terms at any time; the version in effect at the time of your enrollment governs that enrollment. Your continued participation after any update constitutes acceptance of the updated Terms.
BY ENROLLING IN OR PARTICIPATING IN ANY PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, CONDITIONS & RELEASE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM, INCLUDING THE ASSUMPTION OF RISK, RELEASE AND WAIVER OF LIABILITY, INDEMNIFICATION, AND LIMITATION OF LIABILITY PROVISIONS.
